Sime Darby Berhad (MYX: 4197) adalah sebuah konglomerat perdagangan asal Malaysia. Perusahaan ini terutama berbisnis di bidang industri, mesin, logistik, pelayanan kesehatan, dan asuransi.

Latar belakang

Sime Darby yang eksis hingga saat ini dibentuk pada tahun 2007 melalui penggabungan dari tiga perusahaan.

Sime, Darby & Co. Ltd

Pada bulan Oktober 1910, pebisnis asal Britania Raya, William Sime dan Henry Darby mendirikan Sime, Darby & Co. untuk berbisnis di bidang budidaya karet. Perusahaan ini lalu berekspansi ke budidaya kelapa sawit dan kakao. Pada saat mendirikan perusahaan ini, William Sime baru berusia 37 tahun. Setelah berhenti dari pekerjaannya sebagai asisten pedagang di Singapura, ia pernah berbisnis di bidang impor-ekspor dan budidaya kopi, tetapi dua bisnis tersebut kemudian gagal. Sedangkan Henry Darby saat itu adalah seorang bankir kaya berusia 50 tahun asal Inggris yang memiliki properti di Malaya bagian utara.[2]

Pada bulan September 1973, mitra senior dari firma yang mengaudit Sime Darby ditemukan meninggal.[3][4] Dalam dua surat yang ia tulis sebelum bunuh diri, ia menduga bahwa dia dibius dan ditipu oleh Dennis Pinder, chairman dan direktur utama dari Sime Darby, terkait audit yang sedang ia lakukan terhadap Sime Darby.[4] Kemudian, Dennis Pinder dituduh menyalahgunakan uang senilai lebih dari S$3 juta.[4] Pada saat itu, Sime Darby adalah salah satu perusahaan terbesar di Singapura dan Malaysia. Pinder lalu dipenjara setelah mengaku bersalah pada bulan Oktober 1975.[3]

Pada tahun 1977, Sime Darby diakuisisi oleh investor asal Malaysia, terutama melalui Tradewinds (Malaysia) Sdn. Bhd. Pada bulan Desember 1979, dengan telah didirikannya Sime Darby Bhd (SDB) dan Consolidated Plantations Bhd (CPB), Sime Darby memindahkan kantor pusatnya ke Kuala Lumpur dan menjadi perusahaan yang didaftarkan sebagai sebuah badan hukum di Malaysia.[5]

Guthrie

Perusahaan ini didirikan di Singapura pada tahun 1821 oleh Alexander Guthrie. Perusahaan ini adalah perusahaan perdagangan asal Britania Raya pertama di Asia Tenggara. Guthrie memperkenalkan karet dan kelapa sawit di Malaysia masing-masing pada tahun 1896 dan 1924. Guthrie Group mengadakan penawaran umum perdana pada tahun 1987, dan kemudian resmi melantai di Kuala Lumpur Stock Exchange (KLSE) pada tahun 1989.[6]

Golden Hope

Pada tahun 1905, Harrisons & Crosfield, sebuah perusahaan perdagangan teh dan kopi asal Britania Raya, membeli sejumlah kebun kecil di Malaysia dengan harga £50.000, dan kemudian menggabungkan kebun-kebun tersebut untuk membentuk Golden Hope Rubber Estate.[7] Pada tahun 1982, Harrisons & Crosfield menjual Golden Hope, Pataling, dan London Asiatic[8] – ke sebuah perusahaan asal Malaysia dengan harga £146 juta.[7] Pada tahun 1990, nama perusahaan ini diubah menjadi Golden Hope Plantations Bhd setelah Permodalan Nasional Berhad menguasai mayoritas saham dari perusahaan ini. Bisnis utama dari perusahaan ini adalah awalnya di bidang perkebunan tropis, tetapi perusahaan ini kemudian juga berekspansi ke bidang lain, seperti produksi gliserin, jus buah, dan lahan yasan. Perusahaan ini memiliki 83 anak usaha di 7 negara. Kebun utama dari perusahaan ini terletak di Carey Island dan Banting di Selangor.[9]

Penggabungan

Pada bulan Januari 2007, Sime Darby, Guthrie, dan Golden Hope bergabung untuk membentuk Synergy Drive. Pada tanggal 27 November 2007, nama Synergy Drive diubah menjadi Sime Darby Berhad.[10] Hingga tahun 2011, Sime Darby menguasai tanah seluas 850.000 hektar.[11] Pada tahun 2011, pemegang saham terbesar di perusahaan ini berturut-turut adalah Amanah Saham, Employees Provident Fund, dan Permodalan Nasional Berhad.[12] Pada tahun 2010, CEO perusahaan ini adalah Datuk Mohd Bakke Saleh, yang juga merupakan CEO dari Bank Islam.[13][14]

Melantai di bursa saham

Pada bulan November 2017, Sime Darby Berhad resmi memperdagangkan saham dari dua anak usahanya, yakni Sime Darby Plantation Berhad dan Sime Darby Property Berhad, di Pasar Utama dari Bursa Malaysia, sehingga menciptakan tiga perusahaan yang berbisnis di bidang masing-masing.[15] Pemisahan tersebut bertujuan untuk membuka nilai dari perusahaan-perusahaan tersebut dan menyediakan visibilitas terhadap performa dari tiap perusahaan. Jeffri Salim Davidson saat ini menjabat sebagai CEO Sime Darby Bhd, sementara Mustamir Muhamad menjabat sebagai Direktur Keuangan dan Datuk Thomas Leong Yew Hong menjabat sebagai Direktur Strategi. Permodalan Nasional Berhad memegang 52% saham Sime Darby Bhd.[16]

Divisi industri dan mesin

Divisi ini adalah penyumbang pendapatan terbesar bagi Sime Darby.[17]

Pelayanan kesehatan

Ramsay Sime Darby Health Care Sdn Bhd (RSDH) adalah sebuah joint venture yang dimiliki bersama-sama oleh Sime Darby dan Ramsay Health Care asal Australia.[18]

Di Malaysia, RSDH memiliki dan mengoperasikan tiga rumah sakit, yakni Subang Jaya Medical Centre, Ara Damansara Medical Centre, dan ParkCity Medical Centre.[18]

Di Indonesia, perusahaan ini mengoperasikan dua rumah sakit di Jakarta, yakni RS Premier Bintaro dan RS Premier Jatinegara, serta satu rumah sakit di Surabaya, yakni RS Premier Surabaya.[18]

Bisnis lain

Sime Darby Global Services Centre mempekerjakan 510 orang dan menyediakan layanan manajemen sumber daya manusia, keuangan, pengadaan, dan teknologi informasi untuk perusahaan yang ada di dalam Sime Darby Group. Layanan yang disediakan antara lain pemrosesan hutang dan piutang, pembukuan, administrasi dan penggajian sumber daya manusia, pengadaan dan pendaftaran pemasok, kartu korporat, serta hosting peladen. Pada bulan Mei 2019, Sime Darby Global Services Centre diakuisisi oleh DXC Technology.[19]

Sime Darby Lockton Insurance Brokers Sdn Bhd (26364-U) adalah sebuah perusahaan yang bergerak di bidang kepialangan asuransi. Perusahaan ini menyediakan layanan manajemen resiko, asuransi, dan takaful. Sime Darby Berhad memegang 60% saham Sime Darby Lockton Insurance Brokers Sdn Bhd, melalui anak usahanya, yakni Sime Darby Allied Products Bhd. Sementara Lockton Overseas Ltd memegang sisanya.[20]

Saham Eastern & Oriental

Pada bulan Agustus 2011, Sime Darby membeli 30% saham pengembang properti asal Penang, Eastern & Oriental Bhd (E&O) dengan harga RM766 juta atau RM2,30 per lembar saham. Saham tersebut dibeli dari direktur utama E&O, Terry Tham, pebisnis Wan Azmi Wan Hamzah, dan perusahaan kepialangan saham asal Singapura, GK Goh Holdings Ltd.[21]

Pada tahun 2014, Sime Darby menjual 110 juta lembar saham biasa E&O ke Morning Crest Sdn Bhd dengan harga RM319 juta atau RM2,90 per lembar saham. Setelah penjualan tersebut selesai, Sime Darby masih memegang sekitar 22% saham E&O.[22]

Pada tahun 2016, Sime Darby menjual 10% saham E&O dengan harga RM323,3 juta atau RM2,45 per lembar saham ke direktur utama E&O, Datuk Seri Terry Tham.[23]

Saham Lotus's Stores

Sime Darby memegang 30% saham Lotus's Stores Sdn Bhd.[24] Tesco Malaysia adalah salah satu peritel makanan terbesar di Malaysia dengan mengoperasikan lebih dari 50 unit hipermarket.[25]

Tanggung jawab sosial

Yayasan Sime Darby adalah unit filantropis dari Sime Darby. Sime Darby Bhd setuju untuk menyumbang RM 20 juta per tahun ke Yayasan Sime Darby selama lima tahun berturut-turut mulai tahun 2017.[26]

Kontroversi

Tuduhan tenaga kerja paksa

Pada bulan Januari 2022, Customs & Border Protection (CBP) mengumumkan bahwa mereka telah memiliki informasi yang cukup untuk menetapkan bahwa Sime Darby Plantation menggunakan tenaga kerja paksa dan bahwa barang milik Sime Darby Plantation dapat disita.[27] Pada bulan April 2022, Cargill mengumumkan bahwa mereka telah berhenti membeli minyak sawit dari Sime Darby Plantation Bhd. sejak tanggal 25 Februari 2022, setelah Amerika Serikat menyatakan bahwa mereka menemukan indikasi adanya tenaga kerja paksa di Sime Darby Plantation.[28]

Pada tanggal 26 April 2022, Sime Darby mengumumkan bahwa mereka telah menyerahkan sebuah laporan ke CBP. Laporan tersebut diharapkan dapat membatalkan Withhold Release Order (WRO) yang dikenakan oleh CBP kepada mereka sejak bulan Desember 2020.[29]
